As Co-Chair of the Emerging Companies & Venture Capital (ECVC) Practice, Nick Foreste has over a decade of experience and is nationally ranked in advising high-growth companies and  private equity, growth capital, and venture capital firms on various corporate matters, mergers and acquisitions, and financing rounds. Nick represents companies in a variety of industries including technology, artificial intelligence, gaming, cybersecurity, engineering, construction, manufacturing, and more.

Nick specializes in supporting companies throughout their corporate life cycles from early stage and angel funding to growth equity financings, bolt-on acquisitions and exits. He has closed hundreds of financing and both buy and sell side M&A transactions in his career. Nick leverages his entrepreneurial background, having co-founded a technology start-up, to provide strategic and practical guidance to his clients across the technology landscape.

Nick represents early stage and emerging technology companies in a wide range of sectors, including SaaS, Fintech, technology, cryptocurrency, healthcare and media. Nick also has extensive experience representing funds acquiring manufacturing and industrial businesses and supporting similar blue collar businesses as outside general counsel and M&A counsel.

Nick is actively involved in the technology community, currently serving as the Co-Chair of the Venture Atlanta Conference and previously serving as an Advisor to the Atlanta Tech Village, a Board member of the Atlanta Technology Angels and a guest presenter at universities and conferences.

Private Equity / M&A

  • Represented Harvest Partners and Sparq in the acquisitions of Octobot, Kingsmen Software, and Amplify Consulting.
  • Represented Gnosis Freight in its growth equity investment from Vista Equity Partners
  • Represented Sparq in its sale of a majority of its equity to Harvest Partners
  • Represented Azalea Health in its sale of a majority of its equity to LLR Partners and in subsequent bolt-on acquisitions
  • Represented MapAnything in its sale to Salesforce.com, Inc. for $213 million
  • Represented Mailchimp in several strategic acquisitions
  • Represented Sightplan in its sale to SmartRent for $135 million
  • Represented SSM Partners in its majority investment into Quire
  • Represented K1 Capital, a leading technology-focused private equity fund, in numerous platform and bolt-on acquisitions of technology companies
  • Represented numerous venture-backed and private equity-backed technology companies in exits to strategic acquirors and private equity funds in strategic bolt-on acquisitions
  • Represented Sage Software in the sale of its payments division to GTCR for $260 million
  • Represented QGenda in its sale of a majority of its equity to Francisco Partners

  • Representation of leading venture funds nationally in numerous venture and growth stage investments into technology companies, including SSM Partners, Bain Capital, Harvest Partners, Roan Equity, Lewis & Clark Ventures, Argentum Capital Partners, Lead Edge Capital, LLR Partners, BIP Capital, Kinetic Ventures, and multiple corporate venture arms.
  • Representation of leading technology companies throughout the country in venture capital rounds in the form of equity, convertible debt and SAFEs (Simple Agreements for Future Equity), and venture debt, including Instant Financial, FinQuery, Ekos, Nucleus Security, Azalea Health Innovations, Flatfile, OneRail, Everyware, and Loyal Health, among many others.
