Kyle Coogan assists clients with intellectual property (IP) and information technology (IT) matters related to commercial transactions, licensing, software-as-a-service and other cloud-hosted services, mergers, acquisitions, carve-outs, asset sales, early-stage investments, project financings and lending arrangements. He is proficient in managing comprehensive due diligence as well as drafting and negotiating joint development agreements, IP licenses, IT vendor agreements, purchase agreements, credit and collateral agreements, transitional services agreements and other ancillary technology-focused transaction documentation and agreements.
Kyle uses his expertise to advise his clients in a variety of industries including artificial intelligence, fintech, blockchain, healthcare, life sciences, energy and gaming. He also regularly advises clients on matters relating to open source software licensing.
Prior to joining MMM, Kyle was an attorney in the New York office of A&O Shearman, where he advised clients on a range of domestic and cross-border matters related to IP, technology and privacy. He received his J.D. from Duke University, where he was awarded the Duke Intellectual Property and Technology Law Award for the Class of 2017.
He holds degrees in electrical and computer engineering from the Georgia Institute of Technology and has prior legal experience in pharmaceutical and high-tech patent litigation, software and electrical device patent prosecution, and freedom-to-operate due diligence and counseling. Kyle is a registered patent attorney as well as a Certified Information Privacy Professional (CIPP/US).
