Interdisciplinary Group Capitalizes on Existing Strengths

ATLANTA, GA -  December 2, 2010 ─ Morris, Manning & Martin, LLP, an AmLaw 200 firm based in Atlanta, is pleased to announce it has formally established an interdisciplinary Funds and Alternative Investments Group.  This group is dedicated to the representation of all forms of alternative investment entities that raise and deploy capital.

Currently, the firm’s Real Estate Capital Markets Group represents clients raising and deploying capital in the real estate sector through REITs (including publicly registered listed and unlisted REITs, as well as private REITs), real estate funds, joint ventures, “club” investments, single asset strategic alliance structures, and private equity investments in real estate operating companies.  The firm’s Timberland Practice represents the legal needs of businesses, financial institutions, individuals and investors in the application of tax, fund formation and investor relations to the timber and forest products industries.  In the non-real estate arena the firm represents life settlement, business development corporations, venture capital, and private equity groups in their formation and investments.  The new group will build upon these existing strengths to provide new integrated service offerings and serve additional clients. 

Managing Partner Louise Wells commented, “The key to success in this area is familiarity with the way deals are done in the relevant industry coupled with the ability to transcend legal subspecializations in order to give practical and workable advice.” 

Members of the group possess top professional credentials and familiarity with drafting operating agreements, partnership agreements, disclosure documents, REIT charter documents and registration statements, real estate fund agreements and other fund documents.  They understand and have experience in securities law and in the preparation of disclosure documentation.  They also have knowledge of key tax and other issues (e.g. UBTI, REOC, VCOC, FIRPTA and treaty tax regimes) affecting funds structured as flow through entities.
