Atlanta (November 2023) – Morris, Manning & Martin, LLP elected Lili Martin-Mashburn and Stephen McCullers as partners in the firm effective Jan. 1, 2024. Martin-Mashburn is based in the firm’s Raleigh-Durham, North Carolina office. McCullers is in MMM’s Atlanta office.

Their initiative and willingness to master complex and evolving challenges makes them valuable additions to the partnership.”
Martin-Mashburn is in the firm’s Fund Formation, Partnership and Investment Funds, Opportunity Zones (OZ), Corporate Transparency Act, and Tax practices. She was among the first attorneys in the nation to begin working with Opportunity Zone funds and deals in 2017, when Congress created the program to spur economic progress in designated low-income areas. She has a comprehensive background in structuring and consummating commercial real estate transactions involving private equity funds and joint venture arrangements. She also negotiates and drafts operating agreements and limited partnership agreements, and documents real estate equity investments, including private placements and like-kind exchanges under Code Section 1031. Her clients include developers, private equity fund sponsors and investors, publicly-traded banks and taxpayers defending business audits.
McCullers is a member of the firm’s nationally-recognized Environmental practice, where he helps clients comply with complex environmental, health and safety regulations. This includes representing developers pursuing brownfield redevelopments, which involves remediating historic contamination to manage environmental risk and protect future site users. Formerly a natural resources specialist with the U.S. Army Corps of Engineers, McCullers also has extensive experience with air and water permitting, wetlands permitting and mitigation banks, due diligence and liability, environmental insurance, and environmental litigation. The Best Lawyers: Ones to Watch, which ranks younger lawyers, recognized him in 2021.
In addition to their excellent legal work, Martin-Mashburn and McCullers have both been honored for their service to the community. MMMPact, the firm’s corporate social responsibility outreach, named them Pro Bono Super Stars. The designation recognizes that they donated at least 50 hours of free legal work to individuals and nonprofits. Martin-Mashburn was a Pro Bono Super Star in 2016; McCullers earned the honor in 2019 and 2020.
