Enterprise resource planning (ERP) systems enable the integrated management of core business processes across an enterprise. Due to the complexity and lifespan of most ERP systems, it is not uncommon for initial implementations or upgrades to fail. In fact, there have been several notable cases where companies have lost millions in sales and market capitalization due to failed ERP projects.
Further complicating the challenge, while the IT environment and business and technical requirements for each ERP customer may vary dramatically, ERP vendors inevitably seek to impose a standard (and vendor-friendly) set of terms and conditions that apply uniformly to all customers. Given the importance of its ERP system to a company's day-to-day operations, negotiating deviations from these standard terms and conditions is never easy but invariably required.
