- Analyze overlaps/differences between R&W and indemnification
- Determine whether “hold harmless” is broader than “indemnify”
- Understand how patent guarantees are riskier than non-patent guarantees
- Assess carve outs (e.g., modifications, combinations or decisions by the licensee)
