Executive Compensation & Benefits Associate — Atlanta

Morris, Manning & Martin is now accepting resumes for a full-time Executive Compensation & Benefits Associate in our Atlanta office.  The ideal candidate will have 4-5 years of significant experience in transactional executive compensation matters, and will work closely with clients to navigate the complexities of executive compensation and benefits issues. This candidate will be responsible for conducting legal research and analysis, performing due diligence, and drafting employee benefit and executive compensation plans and arrangements.

The key responsibilities are outlined below:

  • Advise clients on executive compensation and benefits issues related to mergers, acquisitions, and other corporate transactions.
  • Draft and review executive compensation arrangements, including equity plans, employment agreements, and severance arrangements.
  • Provide counsel on compliance with IRC Sections 409A, 280G, and other relevant tax laws.
  • Assist clients in designing and implementing executive compensation programs.
  • Handle the executive compensation and benefits aspects of transactions and other significant corporate events.
  • Conduct due diligence reviews and risk assessments related to executive compensation and benefits.
  • Advise integration and compliance of compensation plans post-transaction.
  • Monitor compliance with Rule 701 and applicable state blue sky law exemption requirements.

Must be admitted to the Georgia Bar or committed to becoming a member of the Georgia Bar.
